What Hacker News says?
I'm working on FormAPI [1], which helps developers fill out PDF documents. I started working on this around 2 years ago. I was mostly working on it part-time, and I took a few breaks while I was doing freelance work to pay the bills. This year I raised some money from Earnest Capital [2], which has allowed me to go full-time and hire some contractors. I used to think that I wanted to build a one-person company and s…

HN discussionYes, VC returns are dominated by the huge hits, so everyone is chasing those. Google almost certainly returned more than every other investment made that year for example. For a tens of millions pitch go to Earnest Capital who will be perfectly happy to invest. https://earnestcapital.com/

HN discussionIf you find these critiques of VC are resonating but also feel like a bit of capital, a mentorship group, and shared resources would help you build a sustainable profitable business, then I'd love any questions or comments on our Shared Earnings Agreement structure: https://earnestcapital.com/shared-earnings-agreement/

HN discussionThe residual stake is a factor of the investment amount, the Valuation Cap (negotiated at time of investment) and the terms of a sale. Note by "stake" we just mean an option to participate in a sale. You can run the business profitably forever without paying us a penny. There is a screencast here going over every term and a spreadsheet anybody can use to run the numbers. Not hiding anything :) https://earnestcapital…

HN discussion$3m?! No. This post walks through each of the terms in detail: https://earnestcapital.com/shared-earnings-agreement-digging... We have a Return Cap which is negotiated on a per deal basis but we guide toward 3-5x the initial investment.

HN discussionYes, by default we don't take equity (shares, board seat, none of that). If you decide to raise a round of equity financing (ie VC) we could convert into equity alongside them and if you sell the company we get a % of that. There's a spreadsheet here that lays it out: https://earnestcapital.com/shared-earnings-agreement-digging...

HN discussionLots of reasons, although as i said in my post, unless it's a "strategic acquisition" at a huge multiple, it's usually not because "the math" of selling makes more sense than holding it. In my case, having the liquid capital from the sale allowed me to start a fund to invest in more companies like this ( https://earnestcapital.com/ ). Something I probably couldn't have done while operating my SaaS and just out of th…
